The Dust, LLC
Effective Date: February 15, 2015

The Dust, LLC (β€œThe Dust,” β€œwe,” β€œus,” or β€œour”) provides professional House Cleaning Services and Office Workspace Cleaning Services in select Michigan communities, subject to the terms, limitations, and conditions set forth in this Service Agreement and Privacy Policy (β€œAgreement”).

This Agreement governs all services provided by The Dust, LLC, including but not limited to Routine Maintenance Cleaning, Deep Cleaning, Move-In Cleaning, Move-Out Cleaning, Post-Construction Cleaning, and Office Workspace Cleaning (collectively, the β€œNamed Services”). Each Named Service is intentionally defined and offered under controlled scope, safety standards, and pricing assumptions.

By requesting an estimate, scheduling service, approving a work order, or accepting an estimate electronically or otherwise, you acknowledge that you have read, understand, and agree to be bound by this Agreement in its entirety. Acceptance of any estimate issued by The Dust, LLC constitutes full acceptance of this Service Agreement and Privacy Policy, whether or not a separate signature is obtained.

House Cleaning Services β€” Service Areas & Coverage

The Dust, LLC provides House Cleaning Services exclusively in the following locations:

  • St. Clair Shores, Michigan
     
  • Grosse Pointe Park, Michigan
     
  • Grosse Pointe Farms, Michigan
     
  • Grosse Pointe Woods, Michigan
     
  • Grosse Pointe Shores, Michigan
     
  • Grosse Pointe City, Michigan
     

House Cleaning Services include, when specifically quoted and approved:

  • Routine Maintenance Cleaning
     
  • Deep Cleaning
     
  • Move-In Cleaning
     
  • Move-Out Cleaning

Office Workspace Cleaning Services β€” Service Areas & Coverage

The Dust, LLC provides Office Workspace Cleaning Services in the following locations:

Office Workspace Cleaning Services are limited to commercial, professional, and administrative workspaces only and do not include residential dwellings.

Sec 2 - Work, Safety Standards & Non-Standard Services

Standard Scope of Work

All House Cleaning Services and Office Workspace Cleaning Services provided by The Dust, LLC are performed in accordance with established safety standards, industry best practices, and the defined scope of the specific Named Service approved in your estimate.

Standard service pricing is based on the following assumptions:

  • All cleaning and dusting can be safely performed from floor level using extension poles up to twelve (12) feet in length, and
     
  • Access requirements do not exceed the use of a two-step ladder.
     

These assumptions apply to Routine Maintenance Cleaning, Deep Cleaning, Move-In Cleaning, Move-Out Cleaning, Post-Construction Cleaning, and Office Workspace Cleaning, unless otherwise stated in writing.

Height Limitations & Non-Standard Work

Any work that requires:

  • reaching beyond what can be safely accessed with a 12-foot extension pole, and/or
     
  • the use of any ladder higher than a two-step ladder,
     

is not included in standard pricing and is considered non-standard work.

Non-standard work:

  • may result in additional charges,
     
  • may require separate written approval, and
     
  • may be declined entirely if The Dust, LLC determines the work cannot be performed safely or reasonably.
     

The Dust, LLC reserves sole discretion to determine whether height-related work falls outside standard service parameters.

Excluded Services (No Exceptions)

The Dust, LLC does not provide, and will not be contracted to provide, the following services under any circumstance for House Cleaning Services or Office Workspace Cleaning Services:

  • Biohazard cleaning
     
  • Trauma, crime-scene, or bodily-fluid remediation
     
  • Hoarding remediation
     
  • Mold inspection or mold remediation
     
  • Asbestos-related cleaning
     
  • Lead-related cleaning
     
  • Hazardous waste removal
     
  • Toxic, corrosive, or regulated chemical cleaning
     
  • Any service requiring specialized licensing outside standard residential or commercial cleaning operations
     

Requests for excluded services will be refused, even if inadvertently included in an estimate or discussed verbally.

Verbal Authorization for Non-Standard Work

Client authorization for non-standard work, including height-related work or additional services outside the original scope, may be provided verbally, electronically, or in writing. Any verbal authorization (including statements such as β€œgo ahead,” β€œadd that,” or β€œadd it to my next invoice”) constitutes approval to perform the work and to apply the associated charges to the current or next invoice.

Sec 3 - Responsibilities, Access & Property Conditions

Client Responsibilities

Clients receiving House Cleaning Services or Office Workspace Cleaning Services from The Dust, LLC agree to:

  1. Provide safe and reasonable access to the property during scheduled service times.
     
  2. Ensure the property is free from hazards that may prevent safe performance of the Named Services, including unsecured pets, loose objects, or unsafe conditions.
     
  3. Remove or secure valuable, fragile, or irreplaceable items prior to service. The Dust, LLC is not responsible for damage to items left in unsecured or unsafe locations.
     
  4. Clearly communicate any special instructions regarding the scope of service, areas to avoid, or cleaning preferences.

Access & Scheduling

  • Clients must provide access to all areas included in the scheduled Named Service.
     
  • The Dust, LLC reserves the right to reschedule services if safe access is not provided or if the property presents hazards beyond normal cleaning conditions.
     
  • Failure to provide adequate access may result in additional charges or service delays.

Property Conditions

  • The Dust, LLC will perform services based on the condition of the property at the time of service.
     
  • Pre-existing damage, heavy clutter, or unsafe conditions may require adjustments to pricing or postponement of service.
     
  • Standard equipment and tools provided by The Dust, LLC are intended for routine and deep cleaning. Special requests requiring non-standard equipment or tools may incur additional charges.

Sec 3A- Employee/Contractor Safety, Right to Refusal

The Dust, LLC maintains a strict commitment to the safety, dignity, and well-being of all employees

Clients agree to provide a safe, respectful, and professional environment at all times during the performance of any Named Service. This includes, but is not limited to, the absence of harassment, intimidation, inappropriate conduct, sexual comments, gestures, advances, aggressive behavior, threatening conduct, or any other actions that compromise personal safety or professional boundaries.

Any behavior or condition that, in the sole judgment of The Dust, LLC, compromises the safety, comfort, or professionalism of its personnel will result in immediate suspension or termination of service, without refund, and may result in permanent refusal of future service.

The Dust, LLC reserves the right to refuse, pause, or discontinue services mid-visit if unsafe conditions, inappropriate conduct, or undisclosed hazards are observed, whether or not such conditions were disclosed in advance.

Clients remain responsible for payment of services performed up to the point of suspension or termination resulting from safety or conduct violations.

This policy applies to all House Cleaning Services and Office Workspace Cleaning Services and is non-negotiable.

PHOTOGRAPHY, VIDEO & MARKETING USE

PHOTOGRAPHY, VIDEO & MARKETING USE


Client acknowledges that The Dust, LLC (β€œCompany”) may capture photographs, video, audio, or other media while services are being performed. Such media may incidentally include Company personnel, equipment, or portions of the serviced property.


Client grants the Company a perpetual, irrevocable, royalty-free, worldwide right to use, reproduce, display, publish, and distribute such media for legitimate business purposes, including marketing, advertising, training, documentation, website content, and digital or social media, in any format now known or later developed.


Client may opt out of future marketing-related media capture by providing written notice to the Company prior to service. Any opt-out applies prospectively only and does not require removal, alteration, or discontinuation of use of media captured prior to such notice.


Client understands and agrees that all media captured by the Company is the exclusive property of The Dust, LLC. Client has no ownership rights, approval rights, or authority to revoke use of previously captured media, provided such media does not intentionally disclose personal, identifying, or sensitive client information.


Client releases and holds harmless The Dust, LLC from any claims arising from the authorized use of such media in accordance with this Agreement.


Sec 4 - Non-Solicitation/Confidentiality/Privacy Policy

Non-Solicitation

Clients and their representatives agree not to solicit, hire, or engage any employee, contractor, or staff member of The Dust, LLC for any cleaning services or related work during the term of service and for a period of 12 months after the final service date.

Violation of this clause may result in legal remedies and recovery of fees, including costs associated with hiring, training, and lost revenue.

Confidentiality

  • Any client information shared with The Dust, LLC, including contact details, property information, and service preferences, is considered confidential.
     
  • The Dust, LLC will not disclose client information except as required by law, to authorized subcontractors, or for operational purposes directly related to providing the Named Services.
     
  • Employees and contractors of The Dust, LLC are bound by NDAs and confidentiality obligations to ensure protection of client information.

Privacy Policy Integration

By accepting an estimate or scheduling services, clients acknowledge they have read and understood The Dust, LLC’s Privacy Policy, which governs:

  • Collection, storage, and use of client information
     
  • Communication practices, including email notifications, service reminders, and marketing communications (clients may opt-out where applicable)
     
  • Security measures to protect personal and payment information
     
  • Compliance with applicable Michigan and federal privacy regulations
     

The Privacy Policy is incorporated into this Service Agreement, and acceptance of any estimate constitutes acceptance of both the Agreement and the Privacy Policy.

Sec 5- Liability/Limitation of service & Indemnification

Liability

The Dust, LLC performs all Named Services with care, professionalism, and attention to detail. However, The Dust, LLC is not liable for:

  • Pre-existing damage to property or items
     
  • Items left unsecured, fragile, or outside normal cleaning areas
     
  • Damage resulting from unsafe property conditions or client failure to follow Client Responsibilities
     
  • Any service excluded under Excluded Services or Height Limitations & Non-Standard Work
     

Clients agree that The Dust, LLC’s liability for any claim, loss, or damage is limited to the total amount paid for the specific Named Service during which the incident occurred.

Limitation of Service

  • Services are performed under the constraints of safety, equipment limitations, and reasonable access.
     
  • Any work beyond standard service scope (e.g., heights exceeding 12-foot extension poles or ladders higher than two steps, or excluded hazardous services) requires separate approval and may incur additional fees.
     
  • The Dust, LLC may refuse service if conditions are unsafe or exceed the defined limitations of the Named Service.
    Services are performed under the constraints of safety, equipment limitations, and reasonable access.
     
  • Any work beyond standard service scope (e.g., heights exceeding 12-foot extension poles or ladders higher than two steps, or excluded hazardous services) requires separate approval and may incur additional fees.
     
  • The Dust, LLC may refuse service if conditions are unsafe or exceed the defined limitations of the Named Service.
  • Services approved verbally by the client are deemed authorized services under this Agreement and are subject to the same limitations, exclusions, and liability provisions as services approved in writing or electronically.

Indemnification

Clients agree to indemnify and hold harmless The Dust, LLC, its employees, contractors, and agents from any claims, damages, losses, or expenses arising out of:

  • Client negligence or failure to comply with Client Responsibilities
     
  • Unauthorized requests for excluded services
     
  • Misrepresentation of property conditions or access limitations

Sec 6 Payment Terms, Estimate Acceptance & Enforcement

Payment Terms

  • Standard payment methods include credit/debit cards, ACH transfers, or other electronic payment methods approved by The Dust, LLC.
     
  • Additional charges for non-standard work, height-related work, or any special services will be billed separately and must be approved by the client prior to execution.


  • Verbal approval of additional services or charges authorizes The Dust, LLC to bill such charges to the current invoice or the next scheduled invoice.  

Estimate Acceptance

  • Acceptance of any estimate, approval of additional charges, or authorization of services whether written, electronic, or verbal constitutes full acceptance of this Service Agreement and Privacy Policy.
      
  • By accepting an estimate, the client agrees to all Named Services, Service Areas, Pricing, Exclusions, Height Limitations, and Non-Solicitation provisions outlined in this Agreement.

Agreement Enforcement

  • This Agreement is legally binding under Michigan law and governs all disputes, claims, and responsibilities related to services performed by The Dust, LLC.  
  • Any modifications to this Agreement must be made in writing and signed by an authorized representative of The Dust, LLC.  
  • If any provision of this Agreement is found invalid or unenforceable, the remaining provisions remain in full force and effect.

Sec 7 Dispute Resolution, Mediation, and Governing Law

  • In the event of any dispute, claim, or controversy arising out of or relating to this Service Agreement, the Privacy Policy, or any services provided by The Dust, LLC, the parties agree to first attempt to resolve the matter through good-faith informal discussions.


  • If the dispute cannot be resolved informally, the parties agree to participate in non-binding mediation prior to initiating any legal action. Mediation shall take place in the State of Michigan unless the parties agree otherwise in writing. Each party shall bear its own costs associated with mediation.


  • If mediation does not resolve the dispute, any legal action shall be brought exclusively in the appropriate state or federal courts located within the State of Michigan. This Agreement shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to conflict-of-law principles.

Sec 8 Termination of Services

  • The Dust, LLC reserves the right to terminate or suspend services at any time, with or without notice, if circumstances arise that make continued service impractical, unsafe, or inconsistent with the terms of this Service Agreement.


  • Clients may terminate services by providing notice to The Dust, LLC in accordance with any applicable scheduling or cancellation policies in effect at the time of service.


  • Termination of services does not relieve the client of responsibility for payment for services performed, charges approved, or costs incurred prior to the effective date of termination.


  • The Dust, LLC shall not be liable for any damages, losses, or expenses arising from the termination or suspension of services in accordance with this Agreement.

Sec 9 Force Majeure

  • The Dust, LLC shall not be liable for any delay, interruption, or failure to perform services due to events beyond its reasonable control, including but not limited to acts of God, severe weather, natural disasters, power outages, utility failures, labor disputes, governmental actions, emergencies, access restrictions, or other circumstances that make performance impractical, unsafe, or impossible.


  • In such events, services may be rescheduled, suspended, or canceled without liability to The Dust, LLC. Clients remain responsible for payment for services already performed or costs incurred prior to such interruption.

SEC 10 LIMITATION OF CONSEQUENTIAL AND INCIDENTAL DAMAGES

  • To the fullest extent permitted by law, The Dust, LLC shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of use, loss of profits, loss of business, loss of data, or diminution in property value, arising out of or related to this Service Agreement, the Privacy Policy, or any services provided.


  • This limitation applies regardless of whether such damages are alleged under contract, tort, negligence, strict liability, or any other legal theory, and even if The Dust, LLC has been advised of the possibility of such damages.


  • In no event shall The Dust, LLC’s total liability exceed the total amount paid by the client for the specific services giving rise to the claim.

Sec 11 Signature, Acknowledgement and Final Acceptance

Signature, Acknowledgement and Final Acceptance

By signing, electronically accepting, approving any estimate, or providing verbal authorization for services or additional charges, the client acknowledges and agrees that they:

  1. Have read, understood, and accepted this entire Service Agreement and Privacy Policy in full.
     
  2. Understand the scope, exclusions, height limitations, non-standard work provisions, and safety standards applicable to all Named Services.
     
  3. Accept all pricing, payment terms, and additional charges as outlined in this Agreement and in any approved estimate or invoice.
     
  4. Agree to comply with all Client Responsibilities and acknowledge the limitations of liability applicable to The Dust, LLC.
     
  5. Agree that verbal, electronic, or written approval for additional services or charges (including statements such as β€œgo ahead,” β€œadd that,” or β€œadd it to my next invoice”) constitutes binding authorization to perform the work and to apply the associated charges to the current or next invoice.
